1. Acceptance of Terms

2.1 Online Ordering

Through our Site at cafenrio.click, we provide customers with the ability to browse our menu, customize food and beverage orders, and submit orders for in-store pickup, curbside service, or delivery (where available). Online ordering is subject to availability, location, operating hours, and applicable fees.

Cafe Rio reserves the right to investigate and take appropriate legal action against anyone who violates these provisions, including without limitation, reporting such conduct to law enforcement authorities and terminating the violator's access to the Services.

4. Account Registration and Security

Certain features of our Site may require you to create an account. When you register an account, you agree to provide truthful, accurate, and complete information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must not use such marks without the prior written permission of Cafe Rio. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

5.4 User-Submitted Content

If you submit, post, or upload any reviews, comments, photographs, feedback, suggestions, or other content to the Site or through our Services ("User Content"), you grant Cafe Rio a worldwide, irrevocable, perpetual, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such User Content in connection with the Site and Services and Cafe Rio's business operations. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not infringe on any third-party rights.

6. Payment Terms

6.1 Pricing

All prices for menu items, catering packages, and other products or services are displayed on the Site in United States Dollars (USD) and are subject to change without prior notice. Prices displayed do not include applicable sales taxes, service fees, or delivery charges unless expressly stated otherwise.

6.2 Payment Methods

Cafe Rio accepts various payment methods, which may include major credit cards, debit cards, and other electronic payment options as specified on the Site. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and authorize Cafe Rio to charge the applicable fees to that payment method.

6.3 Order Confirmation

An order confirmation sent to your email does not guarantee acceptance of your order. Cafe Rio reserves the right to cancel or refuse any order for any reason, including but not limited to product unavailability, errors in pricing or product information, or suspected fraudulent activity. If an order is cancelled after payment has been processed, we will issue a full refund to your original payment method within a reasonable timeframe.

6.4 Taxes

You are responsible for all applicable federal, state, and local sales taxes, use taxes, and other charges imposed on your purchases. Cafe Rio will collect and remit applicable taxes as required by law.

6.5 Refunds and Cancellations

Our refund and cancellation policies are as follows: Once a food order has been confirmed and preparation has begun, cancellations may not be accepted. Refunds, when applicable, will be issued in accordance with our then-current refund policy and applicable consumer protection laws.

7. Disclaimers and "As-Is" Basis

Cafe Rio does not warrant or make any representations regarding the use or results of use of the Site or Services. Any material downloaded or otherwise obtained through the use of the Site is done at your own discretion and risk.

Allergen and Nutritional Information Disclaimer: While Cafe Rio makes reasonable efforts to provide accurate allergen and nutritional information, we cannot guarantee that our products are free from any particular allergen. Cross-contamination may occur in our food preparation environments. Customers with severe food allergies or dietary restrictions should exercise caution and consult with our staff directly before ordering.

8. Limitation of Liability

IN NO EVENT SHALL CAFE RIO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00), OR (B) THE AMOUNT YOU PAID TO CAFE RIO IN THE NINETY (90) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, Cafe Rio's liability shall be limited to the greatest extent permitted by applicable law. Nothing in these Terms shall limit or exclude liability for death or personal injury caused by Cafe Rio's negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Cafe Rio and its respective officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your access to or use of the Site or Services;
• Your violation of any provision of these Terms;
• Your violation of any applicable federal, state, or local law or regulation;
• Your infringement of any intellectual property or other rights of any third party;
• Any User Content you submit, post, or transmit through the Site;
• Your negligence or willful misconduct;

Cafe Rio reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Cafe Rio in asserting any available defenses. You agree not to settle any such matter without the prior written consent of Cafe Rio.

10. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to these Terms, the Site, or the Services shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without regard to any conflict of law provisions that would cause the application of the laws of any other jurisdiction.

To the extent that any dispute is not subject to mandatory arbitration as set forth in Section 11 below, you agree to submit to the exclusive personal jurisdiction of the federal and state courts located in the United States for the resolution of any disputes not subject to arbitration under these Terms.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Cafe Rio at [email protected] and provide a written description of the dispute, including the relevant facts and your proposed resolution. The parties agree to attempt to resolve any dispute informally for a period of not less than thirty (30) days from the date of notice. Many disputes can be resolved quickly and to your satisfaction through this informal process.

11.2 Binding Arbitration

If the informal dispute resolution process does not resolve the dispute within thirty (30) days, you and Cafe Rio agree that any dispute, claim, or controversy arising out of or relating to these Terms, the breach thereof, or your use of the Site or Services shall be settled by binding arbitration administered by a recognized arbitration body in the United States, in accordance with its then-current commercial arbitration rules. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.3 Class Action Waiver

11.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in the United States to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights. The filing of such a proceeding shall not constitute a waiver of the right to arbitration.

11.5 Time Limitation on Claims

YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE, SERVICES, OR THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED. Some jurisdictions do not allow time limitations on claims; in such cases, applicable law will control.

12. Term and Termination

12.1 Term

These Terms shall remain in full force and effect for as long as you access or use the Site or Services, or maintain an account with Cafe Rio, unless and until terminated in accordance with this Section.

12.2 Termination by You

You may terminate your account and your agreement to these Terms at any time by discontinuing use of the Site and Services and, if applicable, by closing your account and providing written notice to Cafe Rio at [email protected]. Termination will not affect any outstanding orders, obligations, or liabilities that arose prior to termination.

12.3 Termination by Cafe Rio

Cafe Rio reserves the right, in its sole and absolute discretion, to suspend or terminate your access to the Site and Services, with or without notice, for any reason, including but not limited to:

• Violation of any provision of these Terms;
• Conduct that Cafe Rio reasonably believes is harmful to other users, third parties, or Cafe Rio's business interests;
• Suspected fraud, misrepresentation, or illegal activity;
• Extended periods of inactivity;
• Technical, operational, or business reasons.

12.4 Effect of Termination

Upon termination of these Terms for any reason: (a) all rights and licenses granted to you under these Terms will immediately terminate; (b) you must cease all use of the Site and Services; (c) any provisions of these Terms that by their nature should survive termination shall survive, including without limitation, Sections 5 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 10 (Governing Law), and 11 (Dispute Resolution).

13. Third-Party Links and Services

The Site may contain links to third-party websites, services, or applications that are not owned or controlled by Cafe Rio. Cafe Rio has no control over, and assumes no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites or services. Cafe Rio does not warrant the offerings of any third parties or their websites, nor shall we be liable for any damages, losses, or other consequences arising from your use of any third-party services or websites. The parties agree that any invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely approximates the intent and economic effect of the invalid or unenforceable provision.

19. Waiver

No waiver by Cafe Rio of any right or provision of these Terms shall be effective unless made in writing and signed by an authorized representative of Cafe Rio. The failure of Cafe Rio to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision with respect to any subsequent breach or default. A waiver of any specific breach shall not be construed as a waiver of any future breach or right.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices, policies, or agreements published by Cafe Rio on the Site, constitute the entire agreement between you and Cafe Rio with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding your use of the Site and Services.
